Software License Agreement

1. License Grant

Subject to the terms of this License Agreement ("Agreement") and payment of applicable fees, Beeri B.V. ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, revocable license to use the Agent.ceo software ("Software") according to your subscription tier.

2. License Tiers

2.1 Free License

• 1-3 concurrent agents
• Full platform access
• Community support
• No commercial use restrictions
• You provide your own API keys and cloud infrastructure

2.2 Standard License

• 4-50 concurrent agents
• Full platform access
• Priority support
• Dashboard access
• $200 per agent per month

2.3 Volume License

• 51+ concurrent agents
• Full platform access
• Dedicated support
• On-premise deployment option
• SSO/SAML authentication
• $160 per agent per month

2.4 Enterprise License

• Custom container allocation
• Custom infrastructure (on-premise, hybrid, or dedicated cloud)
• Custom support terms and SLA
• Custom pricing negotiated individually

3. License Key

Upon subscription, you will receive a unique license key. This key:

• Is tied to your account and subscription
• Must be kept confidential
• May not be shared, sold, or transferred
• Is required to activate the Software
• May be revoked for violation of this Agreement

You may regenerate your license key at any time through the dashboard. Regeneration invalidates the previous key.

4. Restrictions

You may NOT:

• Exceed the agent or execution limits of your tier
• Share your license key with unauthorized parties
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices
• Use the Software to develop competing products
• Sublicense, rent, lease, or lend the Software
• Circumvent license validation or usage metering
• Use the Software in violation of applicable laws

5. Open Source Components

Agent.ceo includes open source components licensed under various open source licenses (MIT, Apache 2.0, etc.). These components are subject to their respective licenses, which are included in the Software documentation. Your use of open source components is governed by those licenses, not this Agreement.

The proprietary portions of Agent.ceo, including but not limited to the cloud infrastructure, enterprise features, and certain MCP servers, are licensed exclusively under this Agreement.

6. Ownership

The Software is licensed, not sold. Beeri B.V. retains all right, title, and interest in the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names.

You retain ownership of:

• AI agents you create using the Software
• Configurations and customizations you develop
• Data processed by your agents
• Custom MCP servers you develop

7. Updates and Upgrades

Your license includes access to:

• Bug fixes and security patches
• Minor version updates (e.g., 1.1 to 1.2)
• New features added to your tier

Major version upgrades (e.g., 1.x to 2.0) may require additional fees or subscription changes, which will be communicated in advance.

8. Support

Support levels vary by tier:

• Free: Community support (GitHub, forums)
• Standard: Priority email support (24h response)
• Volume: Dedicated support (4h response)
• Enterprise: 24/7 premium support with custom SLA

9. Term and Termination

9.1 Term

This Agreement is effective until terminated. Paid subscriptions continue until the end of the billing period unless renewed.

9.2 Termination by You

You may terminate this Agreement at any time by canceling your subscription and ceasing use of the Software.

9.3 Termination by Licensor

We may terminate this Agreement immediately if you:

• Breach any term of this Agreement
• Fail to pay applicable fees
• Use the Software in a manner that harms us or other users

9.4 Effect of Termination

Upon termination:

• Your license to use the Software immediately ends
• You must cease all use of the Software
• You must destroy all copies in your possession
• You may export your data within 30 days
• Sections 4, 6, 10, 11, and 12 survive termination

10. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEERI B.V. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEERI B.V.'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL BEERI B.V. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.

13. General Provisions

13.1 Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Beeri B.V. regarding the Software.

13.2 Amendments

We may modify this Agreement at any time. We will notify you of material changes. Continued use of the Software after notification constitutes acceptance.

13.3 Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

13.4 Waiver

Failure to enforce any right does not constitute a waiver of that right.

13.5 Assignment

You may not assign this Agreement without our written consent. We may assign our rights and obligations without restriction.
