1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Beeri B.V., a company registered in the Netherlands ("Company," "we," "us," or "our"), governing your access to and use of the Agent.ceo platform, including our website at agent.ceo and genbrain.ai, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Agent.ceo is an enterprise AI agent orchestration platform that enables users to create, deploy, and manage AI agents. The Service includes:

AI agent creation and deployment tools
Agent-to-Agent (A2A) communication protocol
Model Context Protocol (MCP) server infrastructure
Dashboard for agent management
API access for programmatic control
Cloud or self-hosted deployment options

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription tiers:

Free: 1-3 agents, full platform access, community support
Standard: 4-50 agents, $200/agent/month, priority support, 99.9% SLA
Volume: 51+ agents, $160/agent/month, dedicated support, SLA guarantees
Enterprise: Custom pricing for large organizations (1,000+ employees)

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. Annual billing includes a 17% discount. All fees are non-refundable except as required by law or as expressly stated in these Terms.

4.3 Upgrades and Downgrades

You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

5. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Create agents that generate harmful, abusive, or illegal content
Attempt to circumvent license restrictions or usage limits
Interfere with or disrupt the Service or servers
Access the Service through automated means without authorization
Transmit malware, viruses, or harmful code
Collect user data without consent
Impersonate any person or entity
Use the Service for spam, phishing, or fraud

5.1 AI Agent Guidelines

Agents created using the Service must:

Clearly identify as AI when interacting with humans
Not be used to deceive or manipulate users
Comply with all applicable AI regulations
Not be used for fully autonomous decision-making in high-stakes scenarios without human oversight
Respect rate limits and fair usage policies

6. Intellectual Property

6.1 Our Rights

The Service, including all content, features, and functionality, is owned by Beeri B.V. and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Rights

You retain ownership of all agents, configurations, and data you create using the Service. By using the Service, you grant us a limited license to host and process your content solely for the purpose of providing the Service.

6.3 Open Source

Certain components of Agent.ceo are available under open source licenses. Your use of such components is governed by the applicable open source license.

7. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEERI B.V. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your use or inability to use the Service
Any unauthorized access to or use of our servers
Any interruption or cessation of transmission to or from the Service
Any bugs, viruses, or other harmful code transmitted through the Service
Any errors or omissions in any content

9. Indemnification

You agree to indemnify and hold harmless Beeri B.V. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may export your data for 30 days after termination.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.

14. Severability
